Kentina Passport™ Automatic Renewal and Cancellation Policy

Effective Date: 6/19/2026

This Automatic Renewal and Cancellation Policy (“Policy“) is incorporated into and forms part of the Kentina Passport Membership Terms of Service (the “Membership Terms“). This Policy governs the enrollment, automatic renewal, cancellation, refund, and termination of the Kentina Passport membership program (“Passport” or “Membership“).

This Policy is entered into by and between Kentina Business Holdings, LLC, a California limited liability company (“Kentina,” “Company,” “we,” “us,” or “our“), operator of https://kentinahospitality.com (the “Website“), and each individual who enrolls in a Passport Membership (“Member,” “you,” or “your“).

By purchasing, enrolling in, renewing, or otherwise participating in Passport, you acknowledge that you have read, understood, and agree to this Policy, including the automatic renewal provisions described below.

Definitions

For purposes of this Policy:

“Membership” means a Passport subscription purchased or activated through Kentina.

“Membership Term” means the twelve (12)-month period beginning on a Member’s Enrollment Date or Renewal Date.

“Enrollment Date” means the date a Member initially enrolls in Passport.

“Renewal Date” means the annual anniversary of the Member’s Enrollment Date.

“Program Launch Date” means the date designated by Kentina on which Passport benefits become generally available for redemption and use by Members. Kentina may announce the Program Launch Date through the Website, Member communications, or other reasonable means.

“Core Passport Benefits” means the principal Membership benefits advertised for a Passport tier, including discounts, experiences, exclusive access, rewards, or other Member privileges offered through the program.

1. Membership Tiers and Pricing

1.1 Membership Tiers

Kentina currently offers the following Passport Membership tiers.

All prices are stated in United States Dollars and exclude applicable taxes unless otherwise indicated.

Membership benefits associated with each tier are described on the Website and may be updated from time to time in accordance with the Membership Terms.

1.2 Launch Pricing

From time to time, Kentina may offer promotional or introductory Membership pricing.

Unless expressly stated otherwise during enrollment, promotional pricing applies only to the initial Membership Term.

Upon the applicable Renewal Date, the Membership will automatically renew at the then-current standard annual price for the applicable Membership tier, unless another renewal price has been expressly disclosed by Kentina before renewal.

Kentina will provide advance notice of any upcoming renewal charge in accordance with Section 4 of this Policy.

1.3 Membership Term

Each Passport Membership remains active for one (1) year beginning on the Member’s Enrollment Date.

Unless canceled before renewal as provided in this Policy, Membership automatically renews for successive one-year Membership Terms.

1.4 Anniversary Billing

Annual renewal charges occur on the anniversary of the Member’s original Enrollment Date (“Renewal Date”).

Each Renewal Date establishes the beginning of a new twelve-month Membership Term.

1.5 Program Launch

Passport Memberships may be sold or offered before all advertised Membership benefits become available.

Except where expressly disclosed otherwise at enrollment, Core Passport Benefits begin on the Program Launch Date announced by Kentina.

Before the Program Launch Date, Members are entitled only to those enrollment benefits, promotional offers, or other privileges specifically identified by Kentina as immediately available.

Nothing in this Section changes a Member’s cancellation rights under Section 5 or refund rights under Sections 6 and 8.

1.6 Explorer Promotional Membership

Explorer Membership may be offered without charge as part of a limited-time promotional launch.

By enrolling in the complimentary Explorer Membership, Members acknowledge that the Membership constitutes an automatically renewing annual subscription.

Unless canceled before the applicable Renewal Date, Explorer Membership will automatically renew at the then-current annual Explorer Membership fee in effect on the Renewal Date, following advance notice provided in accordance with this Policy and applicable California law.

The renewal reminder will clearly disclose:

  • the Renewal Date;
  • the renewal amount;
  • the scheduled payment date;
  • instructions for canceling automatic renewal; and
  • a link to this Policy or the applicable Membership Terms.

2. Automatic Renewal Terms

2.1 Continuous Membership

Passport is offered as a continuous subscription service.

Unless canceled before the applicable Renewal Date, each Membership automatically renews for successive one-year Membership Terms.

2.2 Authorization to Charge

By enrolling in Passport, you expressly authorize Kentina to charge the payment method you designate for:

  • your initial Membership fee;
  • each annual renewal fee;
  • applicable taxes;
  • and any additional charges you separately authorize in connection with your Membership.

This authorization remains in effect until you cancel automatic renewal in accordance with this Policy.

You are responsible for maintaining a valid payment method and current billing information.

If payment cannot be successfully processed, Kentina may suspend or terminate Membership benefits until payment is received.

Repeated failed payment attempts may result in cancellation of Membership.

2.3 Renewal Pricing

Unless otherwise disclosed, each annual renewal will be charged at the annual Membership price in effect for your Membership tier on your Renewal Date.

Members who enroll during a promotional pricing period acknowledge that promotional pricing applies only for the initial Membership Term unless expressly stated otherwise.

Kentina reserves the right to change Membership pricing prospectively. Any change in renewal pricing will apply only to future Membership Terms and will be disclosed in the renewal reminder notice described in Section 4.

3. California Automatic Renewal Disclosure

IMPORTANT AUTOMATIC RENEWAL TERMS

By enrolling in Passport, you agree to the following automatic renewal terms:

  • Passport is an automatically renewing annual Membership.
  • Your Membership renews every twelve (12) months unless you cancel before your Renewal Date.
  • The payment method on file will automatically be charged on your Renewal Date for the annual Membership fee then in effect for your selected Membership tier, together with applicable taxes.
  • Your authorization to charge your payment method continues until you cancel automatic renewal.
  • You may cancel automatic renewal at any time before your Renewal Date through your online Passport account or by using any other cancellation method made available by Kentina.
  • If you enroll online, you may cancel online without being required to call customer service.

These automatic renewal terms are presented before purchase in a clear and conspicuous manner in accordance with the California Automatic Renewal Law (California Business and Professions Code Section 17600 et seq.).

4. Renewal Reminder Notice

Because Passport renews annually, Kentina will provide Members with a renewal reminder between thirty (30) and forty-five (45) days before each Renewal Date, or within any other timeframe required by applicable law.

The renewal reminder may be delivered electronically to the email address associated with the Member’s account and will include, at a minimum:

  • the upcoming Renewal Date;
  • the annual Membership fee that will be charged upon renewal;
  • the scheduled charge date;
  • instructions describing how to cancel automatic renewal before the Renewal Date;
  • a link to this Policy or the applicable Membership Terms; and
  • any material changes to Membership pricing or renewal terms, if applicable.

Members are responsible for maintaining a current email address and reviewing communications relating to their Membership.

5. Cancellation

5.1 Cancellation of Automatic Renewal

Members may cancel automatic renewal at any time before the applicable Renewal Date.

Cancellation prevents future renewal charges but does not terminate the Member’s current Membership before the end of the applicable Membership Term.

Unless otherwise required by law, Membership benefits remain available through the end of the paid Membership Term.

5.2 Methods of Cancellation

Members may cancel Passport by any of the following methods:

  • logging into their Passport account and using the online self-service cancellation feature;
  • submitting a cancellation request through the Website;
  • contacting Kentina Member Services using the contact information published on the Website; or
  • any other cancellation method Kentina makes available in compliance with applicable law.

If a Member enrolled online, Kentina will provide an online cancellation method that does not require the Member to telephone customer service.

Kentina may send a confirmation of cancellation electronically after processing the request.

5.3 Effective Date of Cancellation

Cancellation becomes effective immediately upon processing with respect to future renewals.

The Member’s Passport benefits remain active until the expiration of the current Membership Term unless the Membership is canceled and refunded pursuant to Section 6.

After the Membership Term expires, the Membership will terminate automatically, and no further renewal charges will be processed unless the Member enrolls again.

5.4 Re-Enrollment

Former Members may enroll again at the Membership pricing and terms then in effect.

Previous promotional pricing, introductory pricing, grandfathered pricing, or expired promotional benefits are not guaranteed upon re-enrollment unless expressly offered by Kentina.

6. Refund Policy

6.1 Thirty-Day Satisfaction Guarantee

Kentina wants Members to feel confident in their Passport Membership.

Accordingly, Members may cancel an initial Passport Membership purchase within thirty (30) calendar days after the original Enrollment Date and receive a full refund of the Membership fee paid.

Approved refunds will be credited to the original payment method whenever reasonably practicable.

6.2 Refunds After Thirty Days

Except as expressly provided in Section 8 (Modification or Discontinuation of Passport) or where otherwise required by applicable law, Membership fees become non-refundable after the thirty-day satisfaction guarantee expires.

Members may continue to cancel automatic renewal at any time before the next Renewal Date; however, cancellation after the thirty-day satisfaction period prevents only future renewal charges and does not entitle the Member to a refund of the current Membership Term.

Unless required by law or expressly authorized by Kentina, no full, partial, or prorated refunds will be issued for:

  • unused Membership time;
  • unused discounts;
  • unused experiences;
  • unused complimentary benefits;
  • unredeemed Member rewards or promotional credits;
  • travel changes;
  • personal scheduling conflicts;
  • dissatisfaction after the thirty-day satisfaction period; or
  • early termination initiated by the Member.

6.3 Refund Processing

Approved refunds are generally processed to the original payment method.

Processing times may vary depending upon the Member’s financial institution or payment provider.

Kentina reserves the right to verify refund eligibility before issuing any refund.

6.4 Fraudulent or Abusive Activity

To protect the integrity of the Passport program, Kentina reserves the right to deny refund requests that it reasonably determines involve fraud, abuse, duplicate accounts, chargeback abuse, or other misuse of the Membership program, subject to applicable law.

Nothing in this Section limits any consumer rights that cannot legally be waived.

6.5 Chargebacks

Members who believe they have been charged in error are encouraged to contact Kentina before initiating a payment dispute or chargeback.

Kentina will investigate billing concerns in good faith and attempt to resolve legitimate billing issues promptly.

Nothing in this Policy limits a Member’s rights under applicable payment network rules or applicable law.

7. Membership Benefits Upon Expiration or Cancellation

7.1 Expiration of Benefits

Unless otherwise expressly provided by Kentina or required by applicable law, Passport Membership benefits expire when a Membership terminates or expires.

Upon expiration or cancellation:

  • Passport discounts are no longer available.
  • Passport-exclusive pricing terminates.
  • Member-only promotions expire.
  • Tier status ends.
  • Complimentary experiences that have not been redeemed are forfeited.
  • Passport-exclusive rewards, promotional credits, and Member-only offers expire.

Benefits have no cash value unless expressly stated otherwise by Kentina.

7.2 Redemption Prior to Expiration

Members are responsible for redeeming eligible Membership benefits before their Membership expires.

Unused benefits are not transferable to future Membership Terms unless expressly authorized by Kentina.

7.3 Non-Transferability

Passport Memberships are personal to the enrolled Member.

Memberships, Membership benefits, promotional offers, discounts, rewards, and tier privileges may not be assigned, transferred, resold, exchanged for cash, or otherwise conveyed to another individual except where expressly authorized by Kentina.

8. Modification or Discontinuation of Passport

Kentina continually evaluates and improves its hospitality programs.

Accordingly, Kentina reserves the right to modify, suspend, replace, or discontinue Passport, any Membership tier, or any Membership benefit at any time, subject to applicable law.

If Passport is permanently discontinued before a Member’s current Membership Term expires, this Section 8 governs the Member’s available remedies notwithstanding Section 6.

8.1 Memberships Prior to Program Launch

If Passport is discontinued before the Program Launch Date, or before a Member has received the Core Passport Benefits associated with the purchased Membership, Kentina may provide one or more of the following remedies, consistent with applicable law:

  • a full refund of the Membership fee paid;
  • transfer of the Membership fee toward another Kentina membership or hospitality offering, with the Member’s consent;
  • a comparable replacement membership; or
  • another commercially reasonable remedy communicated to affected Members.

In determining the appropriate remedy, Kentina may consider whether any Membership benefits were made available or used before discontinuation.

8.2 Memberships Following Program Launch

If Passport has launched and Members have received or substantially enjoyed the Core Passport Benefits before discontinuation, Kentina may, in its discretion and consistent with applicable law:

  • provide a prorated refund reflecting the unused portion of the Membership Term;
  • provide substantially equivalent replacement benefits;
  • transition Members into a comparable successor membership;
  • provide account credit toward future Kentina offerings, with the Member’s consent where required by law; or
  • provide another commercially reasonable remedy.

8.3 Notice to Members

If Passport is discontinued, Kentina will provide notice to affected Members within a reasonable time.

The notice may include:

  • the effective date of discontinuation;
  • the impact on Membership benefits;
  • the remedy selected by Kentina;
  • any actions Members should take; and
  • any applicable deadlines.

8.4 No Waiver of Consumer Rights

Nothing in this Policy limits any rights or remedies that cannot legally be waived under applicable law.

9. Changes to this Policy

Kentina may revise this Policy from time to time to reflect changes in applicable law, business practices, Passport features, or Membership offerings.

Material changes affecting automatic renewal terms, cancellation rights, pricing, or other material provisions will be communicated as required by applicable law before becoming effective.

Continued participation in Passport after the effective date of a revised Policy constitutes acceptance of the updated Policy to the extent permitted by law.

10. Governing Law and Venue

This Policy shall be governed by and interpreted in accordance with the laws of the State of California, without regard to conflict-of-law principles.

Any action or proceeding arising out of or relating to Passport, this Policy, or the Membership Terms shall be brought exclusively in the state or federal courts located in Riverside County, California, unless applicable law provides otherwise.

The parties consent to the personal jurisdiction of those courts.
